This End-User Licence Agreement ("EULA") is a legal agreement between you ("End User") and UltraScout AI Ltd ("Licensor", "we", "us") governing your use of the UltraScout AI platform ("Software"). By accessing or using the Software, you accept this EULA in full. If you are accepting on behalf of an organisation, you warrant that you have authority to bind that organisation.

This EULA should be read alongside our Terms of Service and Privacy Policy. In the event of conflict, the Terms of Service take precedence.

1. Grant of Licence

Subject to the terms of this EULA and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Software during the subscription period solely for your internal business purposes.

This licence does not include the right to: sublicense the Software to any third party; use the Software to build a competing product or service; access the Software by any means other than through our official interface; or exceed the usage limits of your subscription plan.

The Software, including all updates, modifications, and related documentation, is and remains the exclusive property of UltraScout AI Ltd. This EULA grants you no rights in the Software other than the limited licence expressly stated above. All rights not expressly granted are reserved.

UltraScout AI, the UltraScout AI logo, and all related product names and service marks are trademarks of UltraScout AI Ltd. You may not use these marks without our prior written permission.

4. Your Data and Output

You retain ownership of all data you input into the Software. By using the Software, you grant us a limited licence to process your data to provide the service.

Reports and analysis outputs generated by the Software may be used by you for internal business purposes. The underlying Software, algorithms, and methodologies used to generate outputs remain our exclusive property.

You are responsible for ensuring that any data you input into the Software does not infringe third-party intellectual property rights or violate applicable law.

5. Third-Party Components

The Software uses third-party AI platforms (including OpenAI, Google, Anthropic, Microsoft, and Perplexity) to generate analysis. These platforms have their own terms of service and privacy policies. We are not responsible for the conduct, availability, or outputs of these third-party services.

The accuracy of AI-generated analysis depends on the third-party AI platforms and is subject to their inherent limitations. We make no guarantee as to the completeness or accuracy of AI platform outputs.

6. Updates and Modifications

We may update or modify the Software at any time. Updates may add new features, modify existing features, or remove features. We will provide reasonable notice of material changes that affect core functionality. Continued use of the Software after an update constitutes acceptance of the updated version.

7. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or completely secure.

AI visibility analysis outputs are informational tools only and should not be relied upon as the sole basis for business decisions. We are not responsible for decisions made based on Software outputs.

8. Limitation of Liability

To the maximum extent permitted by applicable law, UltraScout AI Ltd's total liability arising from or in connection with this EULA shall not exceed the total licence fees paid by you in the 12 months preceding the event giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill, even if advised of the possibility of such damages.

Nothing in this EULA limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

9. Term and Termination

This EULA is effective from the date you first use the Software and continues until terminated. We may terminate this licence immediately if you breach any term of this EULA or our Terms of Service. You may terminate by closing your account. On termination, all licence rights granted to you cease immediately, and you must stop using the Software.

10. Governing Law

This EULA is governed by and construed in accordance with the laws of England and Wales. Any dispute arising from this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales (subject to consumer rights in Scotland and Northern Ireland).

11. Changes to This EULA

We may update this EULA from time to time. We will notify you of material changes by email or by prominent notice within the Software at least 30 days before the changes take effect. Continued use after that date constitutes acceptance of the revised EULA.
