Terms of Service

By registering for an account or using the UltraScout AI platform and website ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a legally binding agreement between you ("Customer") and UltraScout AI Ltd ("we", "us").

1. The Service

UltraScout AI provides a SaaS platform for AI search visibility analytics, including AI Share of Voice measurement, Zero Coverage gap identification, competitor discovery, content recommendations, and related reporting ("Platform"), accessed via live.ultrascout.ai. We may modify features at any time with reasonable notice to registered users.

2. Account Registration

• You must provide accurate and complete information when registering.
• You are responsible for your login credentials and all activity under your account.
• Notify us immediately of any suspected unauthorised use at [email protected].
• Accounts are for individual use unless your plan permits multiple users. Do not share credentials.
• You must be at least 18 years old and authorised to enter these Terms on behalf of any organisation you represent.

3. Subscriptions and Payment

3.1 Plans and Pricing

We offer free and paid plans. Details are at ultrascout.ai/pricing. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

3.2 Billing

• Paid subscriptions are billed in advance monthly or annually, as chosen at checkout.
• You authorise us to charge your payment method for all applicable fees.
• Prices are in GBP and exclude VAT unless stated. VAT is applied where required by law.

3.3 Cancellation and Refunds

• Cancel at any time via your account settings. Cancellation takes effect at the end of the current billing period.
• We do not refund partial billing periods, except where required by law.
• Consumer right to cancel: If you are a consumer (not purchasing for business), you may cancel within 14 days of initial purchase under the Consumer Contracts Regulations 2013, unless you have already started using the Service, in which case you waive this right.
• Annual subscription renewal refund requests within 30 days will be considered on a case-by-case basis.

3.4 Non-payment

If payment fails, we will notify you and may suspend your account. If unresolved within 14 days, we may terminate and delete data per our retention policy.

4. Acceptable Use

You must not use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Submit false or fraudulent information
• Gain unauthorised access to any part of the Service or its systems
• Reverse engineer, decompile, or create derivative works from the Platform
• Scrape or harvest data beyond normal platform use
• Resell or sublicense access without our prior written consent
• Upload or transmit malware or harmful code
• Infringe any intellectual property rights

We may suspend or terminate accounts that violate these provisions without notice or refund.

5. Intellectual Property

5.1 Our IP

The Platform, including its software, algorithms, design, content, and brand, is owned by or licensed to UltraScout AI Ltd. These Terms transfer no ownership rights to you.

5.2 Your Data

You retain all rights to data you input. By using the Service, you grant us a limited licence to process this data solely to provide and improve the Service.

5.3 Reports and Output

You may use analysis outputs for your own internal business purposes. You may not resell raw Platform outputs or present them as your own proprietary data product without our prior written consent.

6. Confidentiality

Each party agrees to keep confidential any non-public information received from the other that is reasonably understood to be confidential. This does not apply to information that is publicly known, independently developed, or must be disclosed by law.

7. Third-Party Services

The Service integrates with third-party AI platforms (OpenAI, Google, Anthropic, Microsoft, Perplexity) and other services. We are not responsible for their availability, accuracy, or conduct. Their use is governed by their own terms.

8. Disclaimer of Warranties

9. Limitation of Liability

To the maximum extent permitted by law: (a) our total aggregate liability shall not exceed fees paid by you in the 12 months preceding the claim; (b) we shall not be liable for indirect, incidental, consequential, or punitive damages including loss of profits, data, or goodwill.

Nothing limits liability for: death or personal injury from negligence; fraud; or any liability that cannot be excluded by law.

Consumer rights: If you are a consumer, your statutory rights under the Consumer Rights Act 2015 are not affected.

10. Indemnification

You agree to indemnify and hold harmless UltraScout AI Ltd, its directors, employees, and agents from claims, losses, and expenses (including legal fees) arising from your use of the Service in breach of these Terms or applicable law.

11. Term and Termination

• These Terms remain in effect while you hold an account or use the Service.
• You may terminate by cancelling your account. We may terminate or suspend for breach, non-payment, or any reason with 30 days' notice — or immediately for material breach or illegal activity.
• On termination, your access ceases immediately. Data is retained then deleted per our Privacy Policy.

12. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales. Consumers in Scotland or Northern Ireland may also bring proceedings in local courts. We encourage you to contact us before commencing legal proceedings.

13. Changes to These Terms

We will notify registered users by email at least 30 days before material changes take effect. Continued use after that date constitutes acceptance. Cancel before changes take effect if you do not accept them.

14. General

• Entire agreement: These Terms, Privacy Policy, and Cookie Policy form the complete agreement between you and UltraScout AI.
• Severability: If any provision is unenforceable, it will be modified minimally and remaining provisions continue in force.
• Waiver: Failure to enforce any provision is not a waiver of future enforcement.
• Assignment: You may not assign your rights without our written consent. We may assign ours to any successor.
• Force majeure: We are not liable for failures caused by circumstances beyond our reasonable control.

15. Contact
